1. About CSweetly

CSweetly is a compliance management service operated by CSweetly Ltd, a company incorporated in Ireland with registered offices in Dublin, Ireland. Company registration number 779570.

CSweetly provides a software-as-a-service platform that helps Irish business owners track compliance obligations, manage documents, and collaborate with their accountants.

These Terms of Service govern your use of the CSweetly platform accessible at app.csweetly.com and the associated marketing website at csweetly.com. By creating an account or using the service, you agree to these terms in full.

2. Eligibility

You must be at least 18 years of age to use CSweetly. By using the service, you confirm that you are 18 or older and have the legal capacity to enter into a binding agreement.

CSweetly is designed for use by businesses operating under Irish law. Use of the service is currently limited to businesses based in the Republic of Ireland.

3. Your Account

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.

You agree to provide accurate information when creating your account and to keep that information up to date. CSweetly reserves the right to suspend or terminate accounts where false or misleading information has been provided.

You must notify us immediately at hello@csweetly.com if you become aware of any unauthorised use of your account.

4. Subscription Plans and Billing

CSweetly offers two plans: a Free plan and a Pro plan. The features available on each plan are described on our pricing page at csweetly.com/pricing.

The Pro plan is billed at €20 per month for direct sign-ups, or €15 per month for business owners who register via an accountant or advisor invitation. Billing is processed monthly via Stripe. By subscribing to the Pro plan, you authorise CSweetly to charge your payment method on a recurring monthly basis.

Promotional codes or vouchers issued through accountant partnerships provide a defined period of free Pro access. Following the promotional period, your account will revert to the Free plan unless you subscribe to Pro.

All prices are inclusive of applicable taxes unless stated otherwise.

5. Cancellation and Refunds

You may cancel your Pro subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to Pro features until that date.

CSweetly does not offer refunds on monthly subscription fees once a billing period has commenced. This does not affect your statutory rights under applicable Irish and EU consumer law.

CSweetly reserves the right to suspend or terminate your account if you breach these terms, with or without prior notice depending on the severity of the breach.

6. Acceptable Use

You agree to use CSweetly only for lawful purposes and in a manner that does not infringe the rights of others. You must not:

  • Use the service to store or transmit unlawful, harmful or fraudulent content
  • Attempt to gain unauthorised access to any part of the service or its infrastructure
  • Use the service in any way that could damage, disable or impair the platform
  • Share your account credentials with third parties
  • Use automated tools to access or scrape the service without prior written consent

7. Your Data and Content

You retain ownership of all data and content you upload or enter into CSweetly. By using the service, you grant CSweetly a limited licence to store, process and display your content solely for the purpose of providing the service to you.

CSweetly does not sell your data to third parties. Your data is used only to operate and improve the service. See our Privacy Policy for full details of how we handle your data.

You are responsible for ensuring that any data you upload to CSweetly complies with applicable law, including GDPR where personal data is involved.

8. The Whiteboard Feature

CSweetly provides a private notes feature called Whiteboard. This is intended for general notes and reminders only. You should not store sensitive financial credentials, passwords, or highly confidential personal data in the Whiteboard. CSweetly accepts no liability for any loss arising from information stored in this feature.

9. Compliance Information Disclaimer

CSweetly is a tool to help you organise and track compliance obligations. It does not constitute legal, financial or professional advice. The compliance obligations seeded into your account are provided as a general guide for Irish businesses and may not reflect your specific legal requirements.

You remain solely responsible for ensuring your business meets all applicable legal and regulatory obligations. CSweetly recommends that you work with a qualified accountant or legal professional to verify your compliance requirements.

10. Availability and Service Changes

CSweetly aims to provide a reliable service but does not guarantee uninterrupted availability. Scheduled or emergency maintenance may result in temporary downtime. We will endeavour to notify users of planned outages where possible.

CSweetly reserves the right to modify, suspend or discontinue any part of the service at any time. Where material changes affect paid subscribers, we will provide reasonable notice.

11. Limitation of Liability

To the fullest extent permitted by Irish law, CSweetly Ltd shall not be liable for any indirect, incidental, special or consequential damages arising from your use of the service, including but not limited to loss of revenue, loss of data, or regulatory penalties arising from missed compliance obligations.

CSweetly's total liability to you in respect of any claim shall not exceed the amount you have paid to CSweetly in the three months preceding the claim.

12. Intellectual Property

All intellectual property rights in the CSweetly platform, including software, design, trademarks and content created by CSweetly, are owned by CSweetly Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the service for your internal business purposes only.

13. Changes to These Terms

CSweetly may update these Terms of Service from time to time. Where changes are material, we will notify you by email or via an in-app notice. Continued use of the service after changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ireland. Any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the Irish courts.

15. Accountant and Advisor Access

Business owners may connect one or more accountants or advisors to their CSweetly account. Connected accountants are granted access to the business owner's compliance data, documents, obligations and expenses for the purpose of providing professional services. Business owners are responsible for ensuring they have appropriate authority to share this information with their connected advisors.

Accountants and advisors using the CSweetly portal act as independent data controllers in respect of their professional relationship with their clients. CSweetly acts as a data processor on behalf of both parties in facilitating this connection.

16. Accountant-Created Client Profiles and Invited Users

Accountants and advisors using CSweetly may create placeholder company profiles on behalf of their clients prior to those clients registering their own accounts. In doing so, the accountant provides a client company name and email address to CSweetly for the purpose of pre-populating a compliance profile.

By creating a client profile on behalf of a third party, the accountant confirms that they have an existing professional relationship with that client and appropriate authority to provide their details to CSweetly. The accountant acts as the data controller for this initial data submission. CSweetly acts as a data processor and will use the provided information solely to facilitate the onboarding invitation.

An invitation email will only be sent to the client's email address when the accountant explicitly triggers this action. Clients who receive an invitation may register and claim their pre-created account, at which point they become the data controller for their own company profile. Clients who do not wish to register may disregard the invitation and no further contact will be made by CSweetly.

Placeholder client profiles for which no invitation has been sent, and which remain unclaimed after 12 months, may be deleted by CSweetly at its discretion.
